114/2011 Changes in the Supervisory Board to be voted at the EGM - Orange Polska

Pursuant to article 5(1.21) of the Decree of the Minister of Finance of 19 February 2009 on current and periodic information disclosed by issuers of securities and conditions for recognising as equivalent information required by the laws of a non-member state (Journal of Laws of 2009, No. 33, item 259, as amended), the Management Board of Telekomunikacja Polska S.A. (“TP S.A.” or “the Company”) hereby announces the resignation of a person supervising TP S.A.’s activity.

                Changes in the Supervisory Board to be voted at the EGM

On 7 October 2011, the Company received information that Mr Olaf Swantee had resigned his position as a Member of the Supervisory Board of TP S.A. as of the end of the day of 12 October 2011.

On the same day, France Telecom S.A. informed the Company that in connection with the above and the fact that the mandates of two Supervisory Board Members, Ms. Nathalie Clere and Mr. Pierre Louette, who had been appointed by the Supervisory Board pursuant to Article 19(7) of the Company’s Articles of Association, would expire at the Extraordinary General Assembly of TP S.A. to be held on 13 October 2011, it intends to propose the following persons as candidates for Supervisory Board Members: Ms. Nathalie Clere and Messrs. Pierre Louette and Benoit Scheen.

Article 19(7) of the Company’s Articles of Association provides:

“7. In case the mandate of a member of the Supervisory Board expires for reasons other than the end of his term of office or dismissal from the Supervisory Board, the rest of the members of the Supervisory Board shall appoint, by a majority of two thirds of the votes cast, a new member of the Supervisory Board. The mandate of such a newly appointed member shall expire on the date of the next General Assembly held not earlier than five (5) weeks after the appointment.”

Resume of the new candidate:

Benoit Scheen, a 45-year old Belgian national, is responsible for Europe as Executive Vice-President of the France Telecom Group. He is also a member of the boards of directors of Everything Everywhere, Orange Communications and Mobistar.

He joined the Group in September 2011 and is responsible for the Group's operations in Armenia, Austria, Belgium, Dominican Republic, Luxembourg, Moldova, Poland, Romania, Slovakia, Spain and Switzerland.

Prior to that he was Chief Executive Officer of Mobistar in Belgium from 2008 to 2011, and he also held a number of executive management positions with IBM, Compaq, HP and Siemens-Nixdorf.

He attended the University of Namur and holds a Master's degree in Computer Science as well as a Bachelor's degree in Economics and Social Science.
