82/2011 Chief Executive Officer Maciej Witucki appointed in advance for a third term of office - Orange Polska

Pursuant to art. 5, clause 1, item 21 and 22 of the Decree of the Minister of Finance of 19 February 2009 on current and periodic information disclosed by issuers of securities and conditions for recognising as equivalent information required by the laws of a non-member state (Journal of Laws of 2009 No. 33, item 259, with amendments) the Management Board of Telekomunikacja Polska S.A. (“TP S.A.”) hereby informs about appointment of managing person and resignation and appointment of a supervising person.

July 12, 2011: The Supervisory Board of Telekomunikacja Polska S.A. appointed Mr Maciej Witucki for his third consecutive term as President of the TP S.A. Management Board.

The renewal of Mr. Witucki's contract, in advance of the expiration of his current term, is a reflection of the strong results he has achieved to date and the confidence in the long-term plans that the Management Board are now executing.  Therefore, the Supervisory Board decided to extend Mr. Witucki's mandate. This third term will start on the day of the next General Meeting of the Shareholders in April 2012, for a period of three years.

Moreover, in connection with resignation dated 11 July 2011 of Mr. Olivier Faure from his position on the Supervisory Board of TP S.A., pursuant to art. 19, clause 7 of TP S.A.’s Articles of Association, Mrs. Nathalie Clere was appointed the Supervisory Board member.


Maciej Witucki

Maciej Witucki is 44 years old. In 1991 he graduated from the Faculty of Electricity in the Poznan University of Technology (Politechnika Poznanska) followed with a post-grad programme in industrial systems management in the Ecole Centrale of Paris (France).

He started his career as an assistant in Ecole Centrale Paris, where he specialised in operational research and decision support. From September 1997 he worked for the Cetelem bank - first in France, where he co-created the business plan for its Polish subsidiary, and then in Poland, serving at the same time as a management board member of Cetelem Polska Expansion S.A. In October 2001 he started to work for the Credit Agricole Group.

In 2002 he became a management board member of LUKAS S.A., and later the vice-president of LUKAS Banku S.A. responsible for consumer loans. In March 2005 he was appointed the President of the Management Board of LUKAS Bank S.A.

Since November 2006, he has been the President of the Management Board of Telekomunikacja Polska.

He has also been the President of the French Chamber of Commerce and Industry in Poland since 2010.

The activities of Mr. Maciej Witucki outside of TP S.A. do not conflict with his function at TP S.A.


Nathalie Clere

Nathalie Clere, age 50, is currently Vice President for Poland Operations. As a bridge between   France Telecom Group and TP, she is covering a broad range of responsibilities, from commercial performance to governance and regulatory issues.

Just before she was Vice President for Belgium, Switzerland and Dominicana .Nathalie Clere has been with the Group since 1994 in a series of significant leadership roles across FT international business, including Chief Operating Office for Cellis in Lebanon, Customer Care Director with Optimus in Portugal and Managing Director for FT South East France operations in the incumbent market (residential and B2B). She previously worked for the broadcasting Company "Telediffusion de France"   in Paris as well as for Thomson consumer goods in Singapore where she held operations role.

She holds a BA in economics & foreign language from Grenoble University and a MBA from the Euromed business school in 1984. Nathalie Clere has been nominated as Advisor for French International Trade by a French Minister decree since 2008 and she received the medal from Knight of the National Order of the Merit in Beirut in May 2002

The activities of Mrs. Nathalie Clere outside of TP S.A. do not conflict with her function at TP S.A.
