Orange Polska sells its energy resale business to Fortum

Orange Polska signed a preliminary agreement to sell its 100% owned subsidiary Orange Energia to Fortum for the enterprise value of approximately PLN 120 million. Its disposal is linked to Orange Polska’s strategy to fully concentrate on the provision of telecommunication and digital services.

Fortum is the largest electricity solutions provider in the Nordics with over 2 million customers. It is also one of the cleanest power generators in Europe, with 99% of its generation from renewable and nuclear sources. Fortum has been present in Poland since 2003.

Upon closing, expected in 3Q 2025, around PLN 90 million will be paid and the remaining part will be settled by the beginning of 2029 based on the electricity sales volume targets achieved through the Orange Polska retail distribution network. The transaction requires approval of Poland’s Office of Competition and Consumer Protection.

The sole activity of the sold entity is resale of electrical energy. Orange Polska was involved in this activity since 2015. The terms of customer contracts will remain unchanged, and all services will be provided on the existing basis.
