121/2009 Changes in management board – Orange Polska

Pursuant to article 5(1.21 & 1.22) of the Decree of the Minister of Finance of 19 February 2009 on current and periodic information disclosed by issuers of securities and conditions for recognising as equivalent information required by the laws of a non-member state (Journal of Laws of 2009 No. 33, item 259, with amendments), the Management Board of Telekomunikacja Polska S.A. (“TP S.A.”, “the Company”) hereby informs about the resignation and appointment of TP S.A. managing persons.

On 15 September 2009, the Supervisory Board of TP S.A. appointed Vincent Lobry to the TP Management Board as Vice President and Chief Marketing and Strategy Officer.

On the same day, Richard Shearer, formerly responsible for the Mass Market division, due to personal reasons resigned as Member of the Management Board.

Moreover, Mariusz Gaca, formerly responsible for the Business Market division, resigned as Member of the Management Board. Mariusz Gaca will now become the TP Group Executive Director for Sales and Customer Care. In addition, on 15 September 2009 he was appointed to the Management Board of PTK Centertel Sp. z o.o. as CEO and President.

As a consequence of those changes, a position of “Vice President and Chief Marketing and Strategy Officer” has been introduced. Previously, responsibility for marketing was split according to market segment, with the divisions responsible for the Business and Mass Market segments each maintaining a separate marketing as well as sales organisation.

Responsibilities for sales and customer care have been consolidated under the TP Group Executive Director for Sales. Previously customer care was under the control of the Chief Operating Officer.

Piotr Muszyński, Chief Operating Officer, has been also appointed Vice President (TP Vice President in charge of Operations). In addition to his previous duties, the TP Vice President and Chief Operating Officer is now also responsible for the oversight of the Company’s wholesale operations and quality of service.

Resume of Vincent Lobry

Vincent Lobry is 53 years old. He joined France Telecom in 1979 as new systems and network management engineer. He worked for FT in Indonesia, then in the US (until 1994) and Spain and Italy (until 2003). Mr Lobry managed Business Teams in the B2C/B2B Marketing Divisions to January 2006, when he was appointed B2C Marketing Director at FT France. From September 2007 he served as B2C (Home and Mobile) Marketing Director at FT France. He is a Knight of the Order of Merit and a graduate of École Polytechnique and École Nationale Supérieure des Télécommunication (Telecom ParisTech). The activities of Mr. Vincent Lobry outside TP S.A. do not conflict with his functions at TP S.A.
