The merger plan of ORANGE POLSKA S.A. with TP TELTECH SP. Z O.O.

Acting pursuant to Article 500(21) of the Commercial Companies Code, the Management Board of Warsaw-based Orange Polska S.A. hereby announces that on 30 August 2022 it agreed upon and adopted by a resolution the terms of merger (“the merger plan”) of Orange Polska S.A. (“the acquiring company”) and Łódź-based TP Teltech sp. z o.o. (“the company being acquired”) in the manner set forth in Article 492(1.1) of the Commercial Companies Code, that is by a transfer of all assets of the company being acquired to Orange Polska S.A. (merger by acquisition), and hereby makes the aforementioned merger plan available to the public.
