Allianz Pension Fund exceeded a 5% shareholding in Orange Polska
Pursuant to Article 70(1) of the Law of 29 July 2005 on public offering and the conditions for introducing financial instruments to the organised trading system and on public companies, the Management Board of
Orange Polska S.A. (“Orange Polska”; “the Company”) hereby informs that on January 5, 2023 it received the following notification from PTE Allianz Polska S.A.:
“Pursuant to Article 69 in conjunction with Article 87(1, 2b) of the Law of 29 July 2005 on public offering and the conditions for introducing financial instruments to the organised trading system and on public companies, Powszechne Towarzystwo Emerytalne Allianz Polska S.A., managing Allianz Polska Otwarty Fundusz Emerytalny (“Allianz OFE”) and Allianz Polska Dobrowolny Fundusz Emerytalny (“Allianz DFE”), informs that as a result of the merger with Aviva Powszechne Towarzystwo Emerytalne Aviva Santander Spółka Akcyjna, managing Drugi Allianz Polska Otwarty Fundusz Emerytalny (“Drugi Allianz OFE”), which was effected on December 30, 2022 pursuant to Article 67 of the Act of August 28, 1997 on the organisation and operation of pension funds (i.e. Journal of Laws of 2020, item 105, as amended; “the Act on Pension Funds”) and Article 492(1,1) of the Commercial Companies Code, the aggregate share in the share capital and the total number of votes at the General Meeting of Orange Polska on the accounts of Allianz OFE, Allianz DFE and Drugi Allianz OFE increased above 5%.
Before merger:
In total, the accounts of Allianz OFE and Allianz DFE held 34,584,302 shares, representing 2.64% of the Company’s share capital and carrying 34,584,302 votes, which constituted 2.64% of the total number of votes at the General Meeting of the Company. The account of Drugi Allianz OFE held 66,488,705 shares, representing 5.07% of the Company’s share capital and carrying 66,488,705 votes, which constituted 5.07% of the total number of votes at the General Meeting of the Company.
After merger:
In total, the balance on the accounts of Allianz OFE, Allianz DFE and Drugi Allianz OFE increased to 101,073,007 shares, representing 7.70% of the Company’s share capital and carrying 101,073,007 votes, which constitutes 7.70% of the total number of votes at the General Meeting of the Company. At the same time, Powszechne Towarzystwo Emerytalne Allianz Polska S.A., managing jointly Allianz OFE, Allianz DFE and Drugi Allianz OFE, informs that:
▪ It has no subsidiaries holding shares in the Company;
▪ The situation set forth in Article 69(4,6) of the Act on Pension Funds does not occur;
▪ It also does not have any financial instruments referred to in Article 69b (1,1 & 2) of the Act on Pension Funds.”
